    Investment Funds: Regulation and Structure (21700). 2 units. This class will survey the structure, regulation, and taxation of investment funds. We will read the formation documents for hedge funds and private equity funds and survey the regulations that apply to these funds under the Investment Advisers Act of 1940. We will then survey mutual funds and their regulation under the Investment Company Act of 1940. We will also consider the taxation of each of these types of funds. We will try to engage broad questions of an economic nature, but we will focus principally on legal structuring, rather than investment strategy. Enrollment limited to twenty.
